Welcome to Prestige Hill Crest LLC ("Company," "we," "our," "us"). These Terms of Service ("Terms") govern your use of our website located at prestigehillscrest.org (the "Site") and any related services, including public relations campaigns, consulting, crisis communications, media outreach, and other offerings (collectively, the "Services"). By accessing or using our Site or Services, you ("Client," "you," "your") agree to be bound by these Terms. If you do not agree, please do not use our Site or Services.

1. Our Services & Packages

Prestige Hill Crest LLC offers tiered PR and communications packages. The table below summarizes the scope of each package:

All fees are in United States Dollars (USD). Additional out-of-pocket expenses (e.g., travel, software subscriptions, paid media placements) may be billed separately with prior client approval.

2. Acceptance of Terms

By using our Site or engaging our Services, you represent that you are at least 18 years old and have the legal capacity to enter into a binding agreement. If you are using the Services on behalf of an organization, you warrant that you have authority to bind that organization. These Terms constitute a legally binding agreement between you and Prestige Hill Crest LLC.

3. Payment Terms & Invoicing

Payment terms vary by package and engagement. The following table outlines our standard payment schedule:

Invoices are due within 15 days of receipt. Failure to pay may result in suspension of Services and accrual of late fees. All fees are non-refundable except as expressly provided in Section 7 (Cancellation & Refunds).

4. Client Responsibilities

To ensure successful execution of PR campaigns, you agree to:

  • Provide accurate, complete information about your brand, products, and messaging objectives.
  • Respond to our team's requests for feedback, approvals, or materials within 3 business days (unless otherwise agreed).
  • Obtain all necessary permissions, licenses, and consents for any content you share (e.g., logos, images, data).
  • Cooperate in good faith during media training, crisis simulations, and interview preparations.
  • Notify us immediately of any legal or reputational issues that may impact PR activities.

Failure to meet these responsibilities may delay deliverables. Prestige Hill Crest LLC is not liable for losses resulting from client delays or inaccurate information.

5. Intellectual Property Rights

Ownership of materials created during our engagement is governed by the following table:

Our company name, logo, and branding remain our exclusive property. You may not use our trademarks without written permission.

6. Confidentiality

Both parties agree to keep confidential all non-public information disclosed during the engagement, including business strategies, media contacts, unreleased campaigns, and proprietary data. This obligation survives termination for a period of 3 years. Exceptions include information that is publicly known, independently developed, or required to be disclosed by law.

7. Cancellation & Refunds

Either party may terminate an engagement with written notice according to the following terms:

Prestige Hill Crest LLC may terminate Services immediately if you breach these Terms, fail to pay, or engage in illegal or unethical conduct. In such cases, no refund will be issued, and outstanding fees remain due.

8. Limitation of Liability & Disclaimer of Warranties

DISCLAIMER: Our Services are provided "as is" and "as available." We do not guarantee specific media placements, coverage results, or campaign outcomes. While we strive for excellence, public relations involves factors beyond our control (e.g., editorial discretion, news cycles).

LIMITATION OF LIABILITY: To the maximum extent permitted by law, Prestige Hill Crest LLC and its affiliates, employees, or agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, data, or reputation, arising from your use of our Services. Our total aggregate liability shall not exceed the total fees paid by you in the 6 months preceding the claim.

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability, so the above may not apply to you.

9. Indemnification

You agree to indemnify, defend, and hold harmless Prestige Hill Crest LLC and its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of: (a) your breach of these Terms; (b) your violation of any law or third-party rights; (c) any content you provide that infringes intellectual property or privacy rights; or (d) your misuse of our Services.

10. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Mississippi, without regard to conflict of law principles. Any dispute arising from these Terms or our Services shall be resolved through binding arbitration in Columbia, Mississippi, in accordance with the rules of the American Arbitration Association (AAA). Each party shall bear its own costs. You waive any right to participate in a class action or class-wide arbitration.

11. Prohibited Conduct

When using our Site or Services, you agree not to:

12. Force Majeure

Neither party shall be liable for delays or failures in performance resulting from causes beyond reasonable control, including natural disasters, war, terrorism, pandemics, strikes, internet outages, or government actions. If a force majeure event continues for more than 30 days, either party may terminate the affected Services without penalty.

13. Modifications to Terms

We reserve the right to update these Terms at any time. Material changes will be notified via email (if you are a client) or a prominent notice on our Site. Your continued use of the Site or Services after the effective date constitutes acceptance of the revised Terms. For ongoing engagements, changes will apply to future deliverables unless otherwise agreed.

14. Entire Agreement & Severability

These Terms, together with any SOW, invoice, or written addendum, constitute the entire agreement between you and Prestige Hill Crest LLC regarding the subject matter hereof. If any provision is found to be unenforceable, the remaining provisions shall remain in full force and effect.
